Terms of Service (GTC)

1. Provider and Scope

These General Terms and Conditions ("GTC") govern the use of the web platform Lynara (hereinafter "Platform"). The platform is operated by:

By registering a user account or using the platform, you agree to these GTC, including all documents incorporated by reference herein.

2. Services and Right to Modify

Lynara provides a web-based solution for visualizing and documenting software architectures.

The provider is entitled to further develop the platform at any time, adapt functions, or temporarily restrict access for necessary maintenance work.

There is no claim to uninterrupted availability or a specific range of functions, unless otherwise agreed in writing.

3. Registration and User Obligations

The user is obliged to provide truthful information upon registration (directly or via SSO).

Access data must be kept secret. The user is liable for all activities that occur via their account, unless they are not responsible for the misuse.

4. Rights of Use to the Platform

Lynara grants the user a non-exclusive, non-transferable right to use the platform for the duration of the usage relationship.

All rights to the software, the design, and the algorithms of the platform remain with the provider. Any form of reverse engineering, copying, or decompiling the platform is prohibited without explicit consent.

5. Contents and User's Rights

Ownership: All content created by users (diagrams, project data) remains the property of the user or their company.

License: The user grants the provider the right to technically host, store, and process the content insofar as this is necessary for the operation of the platform and the provision of functions.

Responsibility: The user bears sole responsibility for ensuring that their content does not violate the rights of third parties (e.g., copyrights or trade secrets).

6. Warranty and Liability

Warranty: The platform is provided "as is". The provider assumes no warranty for the suitability of the platform for a specific purpose or the permanent freedom from errors of the software.

Limitation of Liability: The provider is liable without limitation only for damages caused by intent or gross negligence.

Liability for slight negligence, indirect damages, consequential damages (e.g., lost profit, loss of data), as well as liability for vicarious agents is – as far as legally permissible – fully excluded.

7. Payment Terms and Refund Policy

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

If paid subscriptions (plans) are offered, the prices stated at the time the contract is concluded apply. The provider reserves the right to make price changes, which will be announced in good time.

Refund Policy: We offer a 14-day money-back guarantee for initial subscription purchases. If you are not satisfied with the platform, you can request a full refund within 14 days of your first payment by contacting support.

8. Termination

Users can delete their account at any time. The provider is entitled to block access without notice in the event of violations of these GTC or applicable law.

After termination of the relationship, the provider is entitled, but not obliged, to permanently delete the stored project data after a grace period of 30 days. The user is responsible for making a timely backup of their data. The provisions on data deletion in the Data Processing Addendum (Section 10) remain unaffected.

9. Educational Licenses (Student Plan)

We offer a free Student Plan for eligible students, educators, and academic staff. To qualify, users must verify their academic status using a recognized university or school email address. Alternatively, manual verification via a valid certificate of enrollment is possible upon request.

The Student Plan is valid for one year and must be re-verified annually. Commercial use of the Student Plan is expressly permitted to support student entrepreneurs.

We do not guarantee the completeness or accuracy of the list of recognized educational institutions. We reserve the right to modify this list at any time at our sole discretion, which may result in the subsequent revocation of existing student licenses if an institution is removed or deemed ineligible.

10. Atlassian Marketplace & Confluence Plugin

For users installing the Lynara app via the Atlassian Marketplace, these GTC apply in conjunction with the Atlassian Marketplace Terms of Use.

Since the plugin is hosted on Atlassian's Forge infrastructure, the provider's liability for data loss or outages is strictly limited to the scope of our Service Level Agreement (SLA) at lynara.io/confluence/sla, and ultimately subject to Atlassian's platform availability.

11. Data Protection and Data Processing

The processing of personal data takes place in accordance with the separate Privacy Policy, available at lynara.io/privacy.

Data Processing Addendum (DPA/AVV): Insofar as the provider processes personal data on behalf of the user within the meaning of Art. 28 of the General Data Protection Regulation (GDPR) or Art. 9 of the Swiss Federal Act on Data Protection (nDSG), the Lynara Data Processing Addendum (DPA), available at lynara.io/dpa, applies. By accepting these GTC, the user also accepts the Data Processing Addendum as a binding agreement pursuant to Art. 28(3) GDPR.

12. Changes to the GTC

The provider reserves the right to change these GTC at any time. Users will be informed about significant changes via email or in-platform notification at least 30 days before the changes take effect. Continued use of the platform after the changes take effect constitutes consent.

13. Applicable Law and Jurisdiction

Swiss law applies exclusively. The place of jurisdiction for all disputes is – to the extent permitted by law – the registered office of the provider (Frauenfeld, Switzerland).

For users residing in the European Union, mandatory consumer protection provisions of the member state in which the user has their habitual residence remain unaffected.

14. Final Provisions

Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
